SMALL BIZ ALERT: Get the Latest Update on Beneficial Ownership Information Requirements

In light of a December 23, 2024, federal Court of Appeals decision, reporting companies, except as indicated below, are once again required to file beneficial ownership information with FinCEN. However, because the Department of the Treasury recognizes that reporting companies may need additional time to comply given the period when the preliminary injunction had been in effect, we have extended the reporting deadline as follows:

  • Reporting companies that were created or registered prior to January 1, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN. (These companies would otherwise have been required to report by January 1, 2025.)

  • Reporting companies created or registered in the United States on or after September 4, 2024 that had a filing deadline between December 3, 2024 and December 23, 2024 have until January 13, 2025 to file their initial beneficial ownership information reports with FinCEN.

  • Reporting companies created or registered in the United States on or after December 3, 2024 and on or before December 23, 2024 have an additional 21 days from their original filing deadline to file their initial beneficial ownership information reports with FinCEN.

  • Reporting companies that qualify for disaster relief may have extended deadlines that fall beyond January 13, 2025. These companies should abide by whichever deadline falls later.

  • Reporting companies that are created or registered in the United States on or after January 1, 2025 have 30 days to file their initial beneficial ownership information reports with FinCEN after receiving actual or public notice that their creation or registration is effective.

  • As indicated in the alert titled “Notice Regarding National Small Business United v. Yellen, No. 5:22-cv-01448 (N.D. Ala.)”, Plaintiffs in National Small Business United v. Yellen, No. 5:22-cv-01448 (N.D. Ala.)—namely, Isaac Winkles, reporting companies for which Isaac Winkles is the beneficial owner or applicant, the National Small Business Association, and members of the National Small Business Association (as of March 1, 2024)—are not currently required to report their beneficial ownership information to FinCEN at this time.

On Tuesday, December 3, 2024, in the case of Texas Top Cop Shop, Inc., et al. v. Garland, et al., No. 4:24-cv-00478 (E.D. Tex.), the U.S. District Court for the Eastern District of Texas, Sherman Division, issued an order granting a nationwide preliminary injunction. On December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit granted a stay of the district court’s preliminary injunction enjoining the Corporate Transparency Act (CTA) entered in the case of Texas Top Cop Shop, Inc. v. Garland, pending the outcome of the Department of the Treasury’s ongoing appeal of the district court’s order. Texas Top Cop Shop is only one of several cases that have challenged the CTA pending before courts around the country. Several district courts have denied requests to enjoin the CTA, ruling in favor of the Department of the Treasury.

The government continues to believe—consistent with the conclusions of the U.S. District Courts for the Eastern District of Virginia and the District of Oregon—that the CTA is constitutional. For that reason, the Department of Justice, on behalf of the Department of the Treasury, filed a Notice of Appeal on December 5, 2024 and separately sought of stay of the injunction pending that appeal with the district court and the U.S. Court of Appeals for the Fifth Circuit.

UCF Economist: Florida is Still on ‘Santa’s Nice List’

ORLANDO, Dec. 18, 2024 — While hurricanes Helene and Milton felt like “huge lumps of coal” to parts of the state impacted, Florida’s overall economy is still on “Santa’s nice list” this year—and should stay that way through 2027—says University of Central Florida economist Sean Snaith.
In his holiday-themed forecast out this morning, Snaith released his last formal predictions of the year with a quarterly economic forecast for Florida that offers a rosy-cheeked outlook for the Sunshine State, where economic performance continues to outpace the national average.
“Florida’s labor market is a sugar plum, and population growth continues to be the gift that keeps on giving in Florida,” said Snaith, the director of UCF’s Institute for Economic Forecasting.
Snaith adds: “Even with uncertainty about fiscal policy post-election and the increasing likelihood of the Fed pausing its interest rate cuts notwithstanding, Florida’s economy remains in a very strong position as 2024 ends.”
Additional highlights from Snaith’s four-year forecast include:
• From 2024-27, Florida’s economy, as measured by Real Gross State Product, will expand at an average annual rate of 2.8%. Real Gross State Product will decelerate during the economic slowdown as growth will slow to 3.6% in 2024 and 3.1% in 2025, then further to 2.7% in 2026 and 1.9% in 2027.
• Florida’s unemployment rate fell to 2.9% in 2023. The slowing U.S. economy will push the rate up to 3.3% in 2024, and to 3.6% in 2025 and rise to 4.0% by 2027—all the while remaining below the forecast for the U.S. economy.
• Labor force growth in Florida will average 1.0% from 2024-27. After growing 3.6% in 2022, Florida’s labor force growth fell to 2.8% in 2023, and with slower economic growth, labor force growth will average 1.1% during 2025-27.
• The sectors expected to have the strongest average job growth during 2024-27 are Construction (2.7%), Federal Government (1.9%), Education & Health Services (1.7%), Leisure & Hospitality (1.6%), and State & Local Government (1.2%).
• Payroll job growth in Florida will begin to gradually decelerate as the economy remains essentially at full employment. After year-over-year growth of 5.7% in 2022, payroll employment growth in 2023 was 3.3% but will slow to 2.2% in 2024 and drift lower to 0.2% by 2027, all the while outperforming the national labor market.
• Housing starts have felt headwinds from higher mortgage rates. Total starts were 193,700 in 2022—before higher mortgage rates and a slowing economy started a deceleration that will slow starts to 164,924 in 2025. From this point, starts will drift higher to 171,450 in 2027.
• Real personal income growth will average 3.7% during 2024-27. Following an inflation-driven contraction in 2022, growth will be 3.4% in 2027. Florida’s average growth will be 0.8 percentage points higher than the national rate during 2024-27.
Sean Snaith, Ph.D., is the director of UCF’s Institute for Economic Forecasting and a nationally recognized economist in the field of economics, forecasting, analysis and market sizing. He has been recognized by Bloomberg News as one of the country’s most accurate economic forecasters and has served as a consultant for both local governments and multi-national corporations. Before joining UCF’s College of Business, Snaith held faculty positions at Pennsylvania State University, American University in Cairo, the University of North Dakota and the University of the Pacific. Flagler Tiger Bay Club Closes 2024 Season with Global Entrepreneur Jeff Hoffman

FLAGLER COUNTY, Fla. – The date was on his calendar for a full year before making his appearance at the Flagler Tiger Bay Club on December 18 thanks to a long-standing relationship with club president Jay Scherr.

Serving as the Club’s keynote speaker for the annual holiday dinner, it was during his inspirational talk that Jeff Hoffman shared that one of his earliest goals had been to have dinner with 50 different families in their homes around the world, during his lifetime.

Far surpassing his initial goal, Hoffman, a global entrepreneur, philanthropist and self-proclaimed lifelong learner, also shared a number of key lessons he’d learned along the way, including one of the most important, “You May Be Successful, But Will You Matter?”.

“Success is making another dollar. Mattering is making another person’s life better,” shared Hoffman.

It’s the outlook of universal equality among humans that has fueled Hoffman’s passion and belief that every person can make a difference, every person can create a legacy. No matter the circumstances, with hard work, success can be achieved, and what a person chooses to do with that success to help others becomes their legacy.

From creating the job or opportunity you want to having a goal and succeeding, it all depends on the tenacity of the person and their desire to make a difference.

“Don’t chase money, chase excellence,” said Hoffman. “Until and unless you build something amazing in the world, you’re not getting paid anyway. I was the person who always had an excellence strategy. We were heads down focused on building great companies, great products, and taking amazing care of the people that worked for us. Our focus was on being excellent.”

As the founder of several highly successful startups and even a couple of unsuccessful ventures, he was candid about his successes and challenges, sharing the moment he experienced a paradigm shift that enabled him to become a giver.

“Every human being deserves their own red carpet moment,” he said. “It was galvanizing for me, and it set the goal. The reason that I’m here and I do what I do now.”

“I would like every human being to get to a moment in their life when they look around and say, ‘no way, I can’t believe this is my life’.  Does that make sense to everybody? Just whatever your definition is, I want you to get to a moment where you say, ‘I cannot believe I am so blessed, this is actually my life’. And that’s what gave me purpose for the whole rest of my life,” said Hoffman.

Along his journey of personal growth, Hoffman has made it a point to invest in his staff, community, and youth of our nation. Taking it further, his outreach has grown on a global scale, seeking to impact the future of youth in other countries through the World Youth Horizons organization.

“If we give kids a chance at a better life, they’ll take it,” he said.

Knowing how close the World Youth Horizons’ mission is to Hoffman’s heart, Flagler Tiger Bay Club Young Executives, led by Young Executives Chair Sherri Dietrich, took the initiative to host a fundraiser, presenting Hoffman with a donation in the amount of $3,500 for the organization.

Hoffman was clearly touched by gesture.

Flagler Tiger Bay Club President Jay Scherr, Young Executives Chair Sherri Dietrich, Lovie Haley, Chuck Orr and David Paul with keynote speaker Jeff Hoffman at Hammock Dunes Club on December 18, 2024.

Flagler Tiger Bay Club President Jay Scherr hoped members and guests found the evening’s message one that resonated deeply about the untapped opportunities to make an impact.

“I really hope the focus was on knowing that no matter who you are, no matter what your circumstances in life, no matter what your upbringing was, that you have the ability to make a difference, that you have it within yourself to make an impact, not only in your own life but in the lives of others,” said Scherr.

“It’s not about the money, or the best title. What it is about is truly making a difference for other people. I think Jeff made that point very well tonight through his talk on legacy and really was not only inspiring but I can’t imagine one person who is here tonight, and we had a full house, not walking out of this room tonight feeling uplifted and wanting to look for a way to do more.”

The Flagler Tiger Bay Club will welcome AdventHealth President and CEO of the East Florida Division, Dr. Audrey Gregory on January 22, 2025 to open the spring speaker series. Details are available at www.FlaglerTigerBayClub.com.

A Christmas Miracle Is Saving A Dream. What’s Your Impact?

FLAGLER COUNTY, Fla. – It’s two days before Christmas and my last piece of work before closing the computer for the holiday. Preparing to write about Jeff Hoffman’s visit to the Flagler Tiger Bay Club I’m between reflecting on what he said about making your life matter and happily looking at holiday posts on social media, when I come to one from David Portnoy – El Presidente from Barstool Sports. I haven’t been a big Barstool follower but since Dave got his rescue dog Miss Peaches and her new brother Pete, I’ve been checking in on them. It’s about people doing good things with their platform, you know?

So, this guy Dave Portnoy goes in and reviews pizzas. He’s trying to get a move on and picking up his pizza in this little shop in Baltimore, Maryland called TinyBrickOven. The owner is over the moon to have him there and reheating his pizza. He mentions it’s one of his last pizzas as they’re going to be closing for good on Christmas Day because they can’t get their liquor license approved and need it. Long story short, Dave asks the guy what he needs to stay in business for a year, and the guy low balls it – $60K. Done.

I’m crying. Pretty sure everybody else watching the video is too. Right here at Christmas. What a miracle.

It’s a full circle moment as it proves the point Jeff was trying to make the other night when he spoke to a sold-out room full of people at the Hammock Dunes Club. You can be successful and have money, but what did you do with it?

Did you and the life you led make an impact?

Jeff told a similar story when talking to the members and guests, about saving a house being used as a domestic violence shelter. It’s those moments when a person has a real chance to make a real difference. And you don’t even have to be rich. It can be the little things – serving the community with your time, talent or treasure.

In Flagler County we live in a very giving community. I interview a lot of nonprofits and charity organizations, and every single one of them has at some point talked about the generosity of the people in our community.

Jeff’s talk was a reminder that we can still do more. That we can still have greater impact on the lives around us not just this holiday season, but daily, and that impact is our legacy.

Find your passion or cause that touches your heart and take a step toward making an impact, no matter how small. Every effort adds up to impact.

Have a blessed and Merry Christmas.

FDOT Announces Construction Pause on A1A During Holidays

The Florida Department of Transportation (FDOT) wishes everyone a safe and happy holiday!

During this time of heavy travel and celebrations, work on the new buried seawalls in Volusia and Flagler counties will take a short break from Tuesday, Dec. 24, through Thursday, Jan. 2. and there will be no lane closures. The construction crew will monitor the site, and a water truck will be on location to help reduce blowing sand.

Once the holiday is over, work will resume as follows:

·       North wall (North of Highbridge Road in Volusia County to South Central Avenue in Flagler County)

The contractor will have two drills working to complete the construction of the concrete piles that make up the wall. Crews will continue building the concrete cap over the completed piles and regrading the dune. Drivers can expect occasional single-lane closures with flagging operations. By late January, Flagler Beach will see work starting to rebuild walkovers that were temporarily removed. The first plants are also expected to be installed toward the end of January or early February. The contractor expects to complete the Flagler County portion of the wall by spring 2025. Work on the Volusia County part of the wall will continue through fall 2025.

·       South wall (South of Sunrise Avenue to Marlin Drive in Ormond-by-the-Sea, Volusia County)

A third drill has been brought in to help speed construction of the project. Drilling started on the south wall earlier this month. Work is progressing from the north to the south. Before the drilling begins in an area, the contractor must remove any old rock revetment and bring in sand to build a wider work area. Then, crews build the guide wall for the drill rig to follow. Construction of the south wall is expected to finish in early 2026. As work moves south, the FDOT will continue to coordinate with property owners and local partners regarding the schedule for temporarily removing walkovers.

(The contractor builds the concrete caps on the Flagler portion of the north wall.)

To keep our workers and the community safe, please stay out of the work zone and use caution when driving through the area.

Project information is available on the project webpages at www.cflroads.com/project/452444-1 and https://www.cflroads.com/project/452443-1.

Daytona International Speedway Unveils Course Design for 2025 DAYTONA Supercross

DAYTONA BEACH, Fla. (Dec. 18, 2024) – Daytona International Speedway today unveiled the highly anticipated course layout for the 2025 DAYTONA Supercross, taking place during the 84th Annual Bike Week At DAYTONA.

Five-time DAYTONA Supercross Champion Ricky Carmichael has designed yet another grueling course for the 18th consecutive year, with the 2025 layout presenting some very different challenges for riders than in years past.

“It’s an honor to have Ricky Carmichael, the GOAT of Supercross, design the course for DAYTONA Supercross once again,” said Frank Kelleher, President of Daytona International Speedway. “Ricky has an unmatched ability to create a track that challenges the riders while delivering an unforgettable experience for the fans. When you combine those elements, it’s guaranteed to be another can’t-miss spectacle here at Daytona International Speedway.”

The 2025 course layout is going to generate intense racing as riders will start by making a right-handed first corner. This leads into a left-handed 90-degree corner followed by a rhythm section that rides right along The Roost. From there, they’ll go all the way across the frontstretch giving fans an incredible view of all the racing action. There’s no doubt that this course is sure to bring entertainment and showcase some incredible talent from the riders.

“I tell you what, the split lane is always a lot of fun. We work really hard to make it even and give riders lots of options. I’m looking forward to this year’s design, I think it’s going to be a lot of fun no doubt especially with the right hand turn and a completely different track design as we’ve seen in the last several years,” said Carmichael.

Last time these riders took center stage at the World Center of Racing, Jett Lawrence made history, beating Eli Tomac, who is known as “The King” of DAYTONA Supercross after securing his seventh victory at the famed track in 2023. For Lawrence, it was only his eighth career 450SX Class start and it resulted in his first DAYTONA Supercross title.

The 55th annual DAYTONA Supercross takes place on March 1, 2025, with riders tackling Carmichael’s course under the lights at Daytona International Speedway as part of the 84th Annual Bike Week At DAYTONA.

Bike Week is a ten-day motorcycle celebration kicking off on Feb. 28, and continuing through March 9, following the intense, high-speed racing of the DAYTONA 200 running from March 6-8 along with DAYTONA Short Track taking place March 6-7.

To purchase tickets or for more information on DAYTONA Supercross or Bike Week At DAYTONA, please visit www.daytonainternationalspeedway.com. Fans can save up to 20% on tickets by taking advantage of the Daytona International Speedway holiday offer, good through Friday, Dec. 20.
